End User License Agreement (EULA) — PixelMarch

IMPORTANT — READ CAREFULLY. This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "Licensee") and RorysRepairs LLC, a Connecticut limited liability company, trading as PixelMarch ("PixelMarch", "we", "us"), for the PixelMarch software application, including its executable, associated media, and documentation (the "Software"). By installing, copying, running, or otherwise using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.


1. License Grant

Subject to your compliance with this Agreement and, for paid features, an active subscription, PixelMarch grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your personal or internal business purposes.

2. Restrictions

You may not, except to the extent applicable law expressly permits despite this limitation: (a) reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, other than the portions provided under third-party open-source licenses; (b) circumvent, disable, or tamper with the licensing/entitlement mechanism, or use the Software's paid features without a valid entitlement; (c) rent, lease, lend, sell, sublicense, or provide the Software as a commercial hosted service to third parties, except as expressly permitted for the Team tier; (d) remove or alter any proprietary notices, or the third-party license notices that accompany the Software; (e) use the Software to violate any law or any third party's rights.

3. Third-Party Software and Services

The Software includes open-source components under their own licenses; see Third-Party Licenses, which governs those components and prevails over this Agreement as to them. The Software can invoke separately installed third-party tools (including AI command-line interfaces) that are not provided by PixelMarch; your use of those tools and any associated accounts, API keys, or subscriptions is governed solely by their own terms, and you are responsible for complying with them. PixelMarch does not supply, and is not responsible for, the output, cost, availability, or conduct of those third-party tools or the AI models they access.

4. Subscriptions, Entitlements, and Portability

Paid features are enabled by a cryptographically signed entitlement stored locally alongside the executable. The Software may periodically contact PixelMarch's licensing service to refresh the entitlement. You are responsible for the security of your license key. Sharing a license key beyond your permitted seat count is a material breach. Billing terms are set out in the Terms of Service.

5. Ownership

The Software is licensed, not sold. PixelMarch and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. All rights not expressly granted are reserved.

6. Data and Privacy

The Software stores its settings, workspaces, memory ("BigBrain") notes, screenshots, and other user content locally, next to the executable, on your device. Handling of any personal data collected for account and billing purposes is described in the Privacy Policy (Privacy Policy).

7. Updates

The Software includes a self-update mechanism that may download and install newer versions. Updates are subject to this Agreement unless accompanied by a separate license. You may disable automatic checking in settings where such an option is provided.

8. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PIXELMARCH DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL OPERATE WITH ANY PARTICULAR THIRD-PARTY TOOL. YOU ASSUME THE ENTIRE RISK OF USE. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PIXELMARCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN PARTICULAR, PIXELMARCH IS NOT LIABLE FOR ANY ACTION PERFORMED BY THE SOFTWARE OR BY ANY AI TOOL IT INVOKES, INCLUDING COMMANDS RUN, FILES MODIFIED OR DELETED, MACROS EXECUTED, OR INPUT SIMULATED ON YOUR SYSTEM. PIXELMARCH'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD 50.

10. Automation Risk Acknowledgement

You acknowledge that the Software can execute global hotkeys, run macros that simulate keyboard/mouse input and control windows and audio devices, capture screenshots, orchestrate autonomous AI agents that may run shell commands and modify files, and (where enabled) bypass individual permission prompts. You are solely responsible for reviewing and controlling these automations and for any consequences on your system and data. You should maintain backups.

11. Termination

This Agreement is effective until terminated. It terminates automatically if you breach it. On termination you must stop using and delete the Software. Sections 5, 8, 9, 10, and 12 survive termination.

12. Governing Law

This Agreement is governed by the laws of the State of Connecticut, USA, without regard to its conflict-of-laws rules. The state and federal courts located in the State of Connecticut, USA have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have where you reside.

13. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and PixelMarch regarding the Software and supersedes all prior understandings. If any provision is held unenforceable, the remainder stays in effect.
