Terms of Service — PixelMarch

These Terms of Service ("Terms") govern your purchase and use of subscriptions and the licensing/update services for PixelMarch, provided by RorysRepairs LLC, a Connecticut limited liability company, trading as PixelMarch ("PixelMarch", "we", "us"). By purchasing a subscription or using the Software's paid features, you agree to these Terms and to the EULA (EULA) and Privacy Policy (Privacy Policy), which are incorporated by reference.
1. The Service
PixelMarch is a downloadable, portable terminal-manager application. "Paid Features" (Pro, Team) are unlocked by an active subscription. PixelMarch also operates a licensing service (issuing signed entitlements) and a software-update service. Together these are the "Service".
2. Accounts and License Keys
To subscribe you provide an email address and pay through Paddle, our Merchant of Record. You receive a license key / entitlement tied to your subscription. You are responsible for keeping it confidential and for all activity under it. Do not share it beyond your permitted seat count.
3. Subscriptions and Billing
- Merchant of Record. Payments are sold and processed by Paddle.com Market Ltd ("Paddle"), which acts as the Merchant of Record and seller of record for your purchase. Paddle handles billing, invoicing, tax collection/remittance, and refunds on our behalf. By subscribing you also agree to Paddle's buyer terms and privacy notice presented at checkout. Your contract of sale is with Paddle; your license to use PixelMarch is with PixelMarch under the EULA.
- Plans and price. Current plans and prices are shown at checkout (e.g. Pro monthly / annual, Team per-seat). Prices are in US dollars (USD) and may exclude taxes, which are added where required.
- Renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. You authorize recurring charges to your payment method.
- Cancellation. You may cancel anytime from your billing portal — open it in PixelMarch under Settings → License → Manage subscription, or use the link in your Paddle receipt email. You can also email support@pixelmarch.io. Cancellation takes effect at the end of the current paid period; paid features remain active until then and do not renew afterward. Access then reverts to the Free tier.
- Price changes. We may change prices; changes apply to renewals after we give you reasonable advance notice by email.
- Free trial. If a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel before it ends. We will state the trial length at signup.
4. Refunds
- 14-day money-back guarantee. If you are unhappy, email support@pixelmarch.io within 14 days of your initial purchase for a full refund of that charge. Renewal charges are non-refundable except where required by law.
- How refunds are paid. As Merchant of Record, Paddle issues the refund to your original payment method (see section 3). Timing depends on your bank or card issuer.
- Statutory rights. Nothing here limits any non-waivable refund or withdrawal rights you have as a consumer under applicable law (e.g. EU/UK right of withdrawal), which may apply notwithstanding the above.
5. Taxes
Prices may exclude VAT/GST/sales tax. As Merchant of Record, Paddle determines, collects, and remits any applicable taxes; they are added at checkout and shown before you pay. If you are tax-exempt or purchasing as a business, you are responsible for providing any required tax information (e.g. a VAT ID) to Paddle at checkout.
6. Acceptable Use
You agree not to: circumvent the entitlement or update mechanisms; resell or redistribute paid access; use the Service to break the law or infringe others' rights; or abuse the licensing/update endpoints (e.g. automated scraping, denial-of-service). We may suspend or terminate access for material or repeated violations.
7. Third-Party AI Tools
PixelMarch can orchestrate third-party AI command-line tools that you install and pay for separately (for example Anthropic Claude Code, OpenAI Codex, Google Gemini CLI, aider). We do not provide those tools, their model access, or their output, and we charge nothing for them. Your use of them is governed by their own terms and billing. You are responsible for any costs and for complying with their usage policies. We are not liable for their availability, changes, output, or the actions they take on your system.
8. Service Availability
We aim to keep the licensing and update services available but do not guarantee uninterrupted operation. Because entitlements are verified locally and cached, the Software's paid features are designed to keep working offline for a grace period even if our services are temporarily unavailable.
9. Warranty Disclaimer and Limitation of Liability
The Service is provided "as is". To the maximum extent permitted by law, PixelMarch disclaims all implied warranties, and the limitations of liability in the EULA (Sections 8–10) apply equally to these Terms and to the Service.
10. Termination
We may suspend or terminate the Service or your access for breach of these Terms or the EULA. You may stop using the Service at any time by cancelling and uninstalling. Provisions that by their nature should survive (payment owed, disclaimers, liability limits, governing law) survive termination.
11. Changes to These Terms
We may update these Terms. Material changes will be notified by email or in-app with reasonable notice. Continued use of paid features after changes take effect constitutes acceptance. If you do not agree, you may cancel.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Connecticut, USA, without regard to conflict-of-laws rules. Disputes are subject to the exclusive jurisdiction of the state and federal courts located in the State of Connecticut, USA, subject to any mandatory consumer rights in your country of residence.
